Terms of Use

These Terms of Use ("Terms") govern access to and use of the Kontab platform ("Service"), a software service owned and operated by Solèy Technologies Ltd. ("we", "us", or "our"), a company based in Saint Lucia.

By accessing or using the Service, you agree to be bound by these Terms.

1. The Service

Kontab is a cloud-based accounting platform designed to assist businesses in:

  • maintaining financial records
  • managing invoices, expenses, payroll, and inventory
  • generating reports and analytics
  • managing users and business operations

The Service is a tool for managing financial information and does not constitute accounting, legal, or tax advice.

2. Accounts and Eligibility

You must:

  • be at least 18 years of age
  • provide accurate and complete information
  • maintain the confidentiality of your login credentials

You are responsible for all activity conducted under your account.

3. Subscription, Trials, and Access

New users may begin with a free 30-day trial of the Professional plan. The trial does not require a payment method, does not automatically convert to a paid subscription, and does not place charges on an account by itself. A paid subscription begins only when you complete paid checkout with our authorized payment provider and any required payment step succeeds under that provider's process. Where a paid subscription is active, applicable fees, billing period, and renewal terms are those confirmed at checkout and in account or portal communications. Pricing is subject to change with 30 days' notice for active paid subscribers.

3.1 Subscription Access

After you complete paid checkout and a paid subscription is active, access to certain features is determined by your subscription plan and system configuration.

3.2 Trial Access

During the trial period described above, feature availability is governed by system rules and these Terms. When the trial ends without a completed paid checkout, you do not have an active paid subscription unless and until you complete checkout; your access to features may change in line with the plan or access tier that applies at that time.

3.3 Renewal and Cancellation

Paid subscriptions renew for successive billing periods unless you cancel before the renewal date in accordance with the cancellation process made available to you (for example through account billing settings, a provider-managed portal where applicable, or as we describe in your account). Cancellation stops future renewals; you keep access through the end of the billing period you have already paid for, unless stated otherwise in our Refund Policy.

3.4 Non-Payment

If a renewal payment fails or your account is not in good standing for continued paid access, we may downgrade your plan, restrict access to certain features or the Service, or take other reasonable account actions until payment is resolved, in addition to any rights we have under these Terms or applicable law.

3.5 Seat Limits

User access may be subject to seat limits defined by your subscription. Invitations and user additions may be restricted accordingly.

3.6 Feature Enforcement

Feature availability is enforced through system controls and entitlement checks. While designed for consistency, enforcement may vary depending on system state and configuration.

4. User Responsibilities

You agree to:

  • use the Service in compliance with applicable laws
  • maintain accurate financial records
  • ensure proper authorization for users you invite
  • comply with all reporting and regulatory obligations

You are solely responsible for:

  • the accuracy of your data
  • any decisions made using the Service

5. Data Ownership and Use

5.1 Ownership

You retain ownership of all business and financial data you submit to the Service.

5.2 License to Process

You grant us a limited license to process your data solely to:

  • provide and operate the Service
  • maintain security and system integrity
  • improve performance and functionality

6. Accounting Integrity and Records

The Service is designed to support proper accounting practices, including:

  • maintaining transaction histories
  • recording adjustments through controlled mechanisms
  • preserving records for reporting and analysis

Not all system actions are immutable, and not all activities are comprehensively logged.

7. Acceptable Use

You must not:

  • use the Service for unlawful or fraudulent purposes
  • attempt unauthorized access
  • interfere with system operations
  • reverse engineer or exploit the platform
  • use the Service to develop competing products

We may suspend or terminate access for violations.

8. System Access and Administrative Controls

Authorized personnel of Solèy Technologies Ltd. may access systems and data where necessary for:

  • system operation and maintenance
  • customer support
  • security monitoring
  • compliance with legal obligations

Administrative actions are controlled and may be logged for accountability.

9. Availability and Performance

We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation.

System protections such as rate limiting and request controls may be applied as necessary.

10. Third-Party Services

The Service relies on third-party providers for infrastructure and functionality.

To the fullest extent permitted by applicable law, we are not liable for failures of third-party services beyond our reasonable control. This does not limit our responsibility for our own service obligations under these Terms.

11. Payments, Merchant of Record, and Billing

Payments for subscription transactions may be processed by Paddle (or another authorized payment provider) as merchant of record or payment reseller for the transaction. In that capacity, the payment provider may operate checkout, collect applicable taxes based on the buyer's location in accordance with its practices, issue receipts or tax documentation, appear on card or bank statements, and handle buyer-facing payment, refund, and cancellation steps in line with that provider's buyer terms and policies.

Paddle's buyer terms apply to the payment transaction together with these Terms, which govern your use of the Kontab software service. Solèy Technologies Ltd. remains the provider and operator of the Service; the payment provider facilitates payment, billing administration, and related compliance for eligible purchases as described in its documentation.

11.1 Taxes and Displayed Prices

Applicable taxes may be calculated and collected by Paddle or another payment provider at checkout based on your location. Prices shown in-app may be exclusive of applicable taxes.

11.2 Payment Credentials

Payment card and related payment credentials are collected and processed by our payment provider. We do not hold your full card number on our own systems for checkout; what we receive is limited to what the provider shares for subscription and support purposes (for example tokens or transaction references as applicable).

11.3 Refunds

Our Refund Policy, available at kontab.net/refund-policy, forms part of these Terms and sets out how refund requests are handled alongside any payment-provider processes that apply to the transaction.

11.4 Plan Changes and Feature Access

If your subscription plan is downgraded, cancelled, expires, or otherwise changes to a lower tier, access to certain features may be restricted. Data and records created while a feature was available are retained and remain accessible in view-only mode where the feature is not included in your current plan. Continued creation or editing of records associated with restricted features requires an eligible plan.

Downgrading or cancelling your subscription does not automatically remove stored data and does not by itself entitle you to a refund apart from what is described in our Refund Policy or required under applicable law.

12. Data Export and Deletion

12.1 Data Export

Users may export certain data from the Service. Export functionality may be limited to specific formats or datasets.

12.2 Deletion Requests

Account and data deletion requests are processed through controlled workflows and may be subject to verification, processing time, and legal retention requirements.

13. Termination

We may suspend or terminate access if:

  • these Terms are breached
  • unlawful or abusive activity is detected
  • payment obligations are not met

14. Disclaimers

The Service is provided "as is" and "as available."

We do not guarantee:

  • accuracy of outputs
  • suitability for regulatory compliance
  • uninterrupted operation

15. Limitation of Liability

To the fullest extent permitted by applicable law:

  • we are not liable for indirect or consequential damages
  • total liability is limited to fees paid in the preceding 12 months

16. Governing Law

These Terms are governed by the laws of Saint Lucia.

All disputes are subject to the jurisdiction of the courts of Saint Lucia.
